The one piece of advice I've always remembered, given to me by a lawyer acquaintance many years ago: "Draw up your partnership agreement as if you were going to end up in court suing your best friend in a year or two." His point was not that you should be looking for reasons to sue your partner; rather, draw up your agreement in such a way that lays out a complete plan for how people execute their responsibilities, sell their shares, and exit the company.
